Terms and Conditions

1. General

These Terms and Conditions govern the supply of products and services by High Performance Supplies Ltd («HPS»).

All quotations, purchase orders, order acknowledgements and supplies are subject to these Terms and Conditions unless otherwise agreed in writing.


2. Business-to-Business Transactions

HPS supplies products and services exclusively to commercial, industrial and professional customers.

These Terms are not intended for consumer transactions.


3. Quotations

Unless otherwise stated, quotations remain valid for thirty (30) days from the date of issue.

Quotations are based on the technical, commercial and logistical information available at the time of preparation.

Any subsequent changes to specifications, quantities, standards, testing requirements, documentation requirements, delivery conditions or project scope may result in revised pricing and delivery schedules.


4. Technical Information

Quotations are prepared based on information provided by the customer.

The customer remains responsible for verifying:

  • technical specifications;
  • dimensions;
  • material grades;
  • applicable standards;
  • operating conditions;
  • project requirements.

Where technical information is incomplete, HPS may request clarification before proceeding.


5. Orders

An order shall only become binding upon written acceptance by HPS.

Receipt of a purchase order does not automatically constitute acceptance.

HPS reserves the right to reject any order prior to acceptance.


6. Pricing

Unless otherwise stated in writing:

  • prices are quoted exclusive of VAT;
  • prices are quoted exclusive of duties, taxes and import charges;
  • prices are quoted in the stated currency only.

Pricing is based on market conditions existing at the time of quotation.

In exceptional circumstances involving significant changes in raw material costs, freight costs, government restrictions, tariffs or force majeure events, HPS reserves the right to review pricing before order acceptance.


7. Delivery

Delivery dates are estimates unless expressly confirmed in writing as firm commitments.

HPS shall use reasonable efforts to meet agreed delivery schedules but shall not be liable for delays caused by:

  • manufacturers;
  • subcontractors;
  • logistics providers;
  • customs authorities;
  • force majeure events;
  • circumstances beyond its reasonable control.

Partial deliveries may be made unless otherwise agreed.


8. Inspection and Acceptance

Customers shall inspect products promptly upon receipt.

Any visible shortage, damage or non-conformity must be reported in writing within seven (7) days of delivery.

Failure to notify HPS within this period shall constitute acceptance of the goods, without prejudice to hidden defects that could not reasonably have been detected upon receipt.


9. Documentation and Certification

Where specified in the quotation or purchase order, HPS shall provide applicable documentation such as:

  • Material Test Certificates;
  • inspection reports;
  • test records;
  • certificates of conformity;
  • third-party inspection reports.

Only documentation expressly included in the quotation shall be supplied.


10. Warranty

HPS warrants that products supplied shall materially conform to the agreed specification at the time of delivery.

The warranty does not cover:

  • incorrect installation;
  • improper storage;
  • misuse;
  • unauthorised modification;
  • normal wear;
  • customer design errors;
  • applications outside intended operating conditions.

Any warranty claim must be submitted in writing with supporting evidence.


11. Limitation of Liability

To the maximum extent permitted by law, HPS shall not be liable for:

  • loss of profit;
  • loss of production;
  • loss of contracts;
  • downtime;
  • consequential losses;
  • indirect damages.

HPS total liability relating to any order shall not exceed the value of the products supplied under that order.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.


12. Returns

No return of goods shall be accepted without prior written authorisation from HPS.

Products manufactured to customer specifications, custom-made products and special-order items are generally non-returnable unless otherwise agreed.


13. Force Majeure

HPS shall not be liable for any delay or failure arising from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • war;
  • civil unrest;
  • strikes;
  • pandemics;
  • governmental restrictions;
  • transportation disruptions;
  • energy shortages.

14. Intellectual Property

Any drawings, calculations, technical proposals, quotations, documents or information supplied by HPS remain the property of HPS unless otherwise agreed.

Such information shall not be disclosed to third parties without written consent.


15. Confidentiality

Both parties shall treat confidential commercial and technical information as confidential and shall not disclose such information to third parties except where required by law.


16. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
